Terms of Service

1. Acceptance of Terms

Welcome to PiPar - digital business partner ("PiPar", "we", "our", or "the Service"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Nex Oy, a company registered in Finland.

By downloading, installing, accessing, or using PiPar, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

2. Description of Service

PiPar is a mobile application that provides:

• Task management tools
• Note-taking and document creation capabilities
• AI-powered chat and voice call features
• Calendar integration and synchronization with Google Calendar
• Document, image, and audio analysis through AI services
• Web search capabilities
• Image generation and HTML document creation

The Service integrates with third-party AI providers including OpenAI, Google Gemini, Anthropic, Mistral AI, and Together AI to deliver intelligent features.

3. Eligibility

You must be at least 13 years of age (or the minimum age required in your jurisdiction) to use PiPar. If you are under 18, you represent that you have obtained consent from your parent or legal guardian to use the Service.

By using the Service, you represent and warrant that:

• You have the legal capacity to enter into these Terms
• You will comply with these Terms and all applicable laws and regulations
• All information you provide is accurate and complete

4. User Accounts

4.1 Account Creation

To access certain features of PiPar, you must create an account by providing a valid email address. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

4.2 Account Security

You agree to use a strong password and not to share your account credentials with others. We are not liable for any loss or damage arising from your failure to maintain account security.

4.3 Account Termination

You may terminate your account at any time through the app settings or by contacting us. We reserve the right to suspend or terminate your account if you violate these Terms.

5. Subscriptions and Payments

5.1 Subscription Plans

PiPar offers subscription-based access to premium features. Subscription details, including pricing and available plans, are displayed within the app and may be updated from time to time.

5.2 Billing and Renewal

• Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your plan)
• Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date
• You authorize us to charge your payment method for all subscription fees
• All fees are non-refundable except as required by law or as explicitly stated in these Terms

5.3 Credits

Some features may consume credits based on AI service usage. Credit balances, pricing, and consumption rates are displayed within the app. Credits are non-transferable and non-refundable.

5.4 Price Changes

We reserve the right to modify subscription prices. Price changes will be communicated in advance and will take effect at your next billing cycle. Your continued use of the Service after a price change constitutes acceptance of the new price.

5.5 Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation:

• You will retain access to premium features until the end of your current billing period
• Your subscription will not renew
• No refunds will be provided for partial billing periods, except as required by law

6. User Conduct and Acceptable Use

6.1 Permitted Use

You may use PiPar for lawful business and personal purposes in accordance with these Terms.

6.2 Prohibited Activities

You agree NOT to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Generate, store, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Generate spam, phishing attempts, or other malicious content
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use automated scripts, bots, or other tools to access the Service without authorization
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use the Service for illegal surveillance, harassment, or stalking
• Generate content that infringes intellectual property rights of others
• Use the Service to create or distribute malware, viruses, or other harmful code
• Abuse or misuse AI features for harmful purposes

6.3 AI Service Compliance

When using AI features, you must also comply with the terms of service and acceptable use policies of our AI service providers (OpenAI, Google, Anthropic, Mistral AI, Together AI). Violation of their policies may result in suspension or termination of your access to PiPar.

6.4 Consequences of Violations

If you violate these Terms or engage in prohibited activities, we may:

• Suspend or terminate your account immediately
• Remove or refuse to process your content
• Report violations to law enforcement or AI service providers
• Take legal action as appropriate

7. Google Calendar Integration

PiPar integrates with Google Calendar to synchronize your calendar data. By granting calendar access, you acknowledge that:

• PiPar will synchronize your Google Calendar data to local storage on your device
• Calendar data may be included in AI chat context when you use calendar-related features
• You can revoke calendar access at any time through your Google Account settings
• You are responsible for the accuracy of calendar data you create or modify through PiPar

Our use of Google Calendar data complies with the Google API Services User Data Policy.

8. Content and Intellectual Property

8.1 Your Content

You retain all ownership rights to content you create, upload, or store using PiPar ("User Content"), including:

• Tasks, notes, and documents
• Images and audio recordings
• Chat messages

8.2 License to Use Your Content

By using the Service, you grant Nex Oy a limited, non-exclusive license to:

• Store your content locally on your device and temporarily on our servers (as described in the Privacy Policy)
• Process your content through AI services to provide features you request
• Use anonymized, aggregated data for service improvement

This license terminates when you delete your content or close your account, except for content that has been shared with AI service providers during processing.

8.3 AI-Generated Content

Content generated by AI features may be subject to limitations:

• AI-generated content is provided "as is" without warranties of accuracy or quality
• You are responsible for reviewing and verifying AI-generated content before use
• AI providers may retain certain usage rights as specified in their terms of service
• You should not rely solely on AI-generated content for critical decisions

8.4 PiPar's Intellectual Property

The Service, including its design, features, graphics, code, and documentation, is owned by Nex Oy and protected by intellectual property laws. You may not:

• Copy, modify, or create derivative works of the Service
• Use PiPar's trademarks, logos, or branding without written permission
• Remove or alter any copyright, trademark, or other proprietary notices

9. Third-Party Services

PiPar integrates with third-party services, including:

• AI providers (OpenAI, Google Gemini, Anthropic, Mistral AI, Together AI)
• Google Calendar API
• Google Cloud Platform services

Your use of these services through PiPar is subject to their respective terms of service and privacy policies. We are not responsible for the actions, content, or policies of third-party services.

10. Disclaimers and Limitations of Liability

10.1 Service Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.

10.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding accuracy, reliability, or availability of the Service
• Warranties that the Service will meet your requirements or expectations
• Warranties regarding AI-generated content accuracy or suitability

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEX OY SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damage resulting from your use or inability to use the Service
• Damage caused by third-party services or content
• Damage resulting from unauthorized access to your account or content

Our total liability to you for all claims arising from your use of the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or €100, whichever is greater.

10.4 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, our liability will be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Nex Oy, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your User Content
• Your violation of any rights of another party
• Your violation of applicable laws or regulations

12. Data Protection and Privacy

Your use of PiPar is governed by our Privacy Policy, available at www.piparapp.com/privacy-policy. By using the Service, you consent to our data practices as described in the Privacy Policy.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms in the app
• Updating the "Last Updated" date
• Sending you an email notification (for significant changes)

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and may request account deletion.

14. Termination

14.1 Termination by You

You may terminate your account at any time through the app settings or by contacting us. Upon termination:

• Your access to the Service will cease
• Your subscription will be canceled (no refund for the current billing period)
• Your backend data will be deleted after 30 days
• Local data on your device will remain until you uninstall the app

14.2 Termination by Us

We may suspend or terminate your account immediately if:

• You violate these Terms
• You engage in fraudulent or illegal activities
• Your account has been inactive for an extended period
• We are required to do so by law
• We discontinue the Service

14.3 Effect of Termination

Upon termination, all rights and licenses granted to you will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including: intellectual property provisions, disclaimers, limitations of liability, indemnification, and governing law.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Finland, without regard to its conflict of law provisions.

15.2 Jurisdiction

Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of Finland. You consent to the exclusive jurisdiction of the Finnish courts.

15.3 Informal Resolution

Before filing any formal claim, you agree to first contact us to attempt to resolve the dispute informally. Most disputes can be resolved through good-faith negotiation.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nex Oy regarding the Service and supersede all prior agreements.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

16.5 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Nex Oy.

16.6 Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, natural disasters, or failures of telecommunications or internet infrastructure.

16.7 Language

These Terms are provided in English. Any translations are provided for convenience only. In case of conflict, the English version shall prevail.
