Terms of Service

1. Acceptance of Terms

Welcome to PiPar - digital business partner ("PiPar", "we", "our", or "the Service"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and NEX Oy, a company registered in Finland.

By downloading, installing, accessing, or using PiPar, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

2. Description of Service

PiPar is a mobile application that provides:

Task management tools
Note-taking and document creation capabilities
AI-powered chat and voice call features
Calendar integration and synchronization with Google Calendar
Document, image, and audio analysis through AI services
Web search capabilities
Image generation and HTML/JavaScript document creation

The Service integrates with third-party AI providers including OpenAI, Google Gemini, Anthropic, Mistral AI, and Deepseek to deliver intelligent features.

3. Eligibility

We recommend users be at least 13 years of age to use PiPar. If you are under 16, we recommend you have consent from your parent or legal guardian to use the Service.

We strongly recommend parental supervision for all AI services that adolescents use.

By using the Service, you represent and warrant that:

You have the legal capacity to enter into these Terms (or have parental consent)
You will comply with these Terms and all applicable laws and regulations
All information you provide is accurate and complete

4. Account and Access

PiPar requires a valid Google account for authentication through Google Sign-In.

You may discontinue use of PiPar at any time. To fully remove your data:

Delete your account through the app settings
Uninstall the app to remove locally stored data from your device
Remove backup data from your Google Drive if you have enabled backups
Revoke PiPar's access through the unregister page or your Google Account permissions

We retain a record of email addresses that have used the Service for account management purposes.

We reserve the right to suspend or terminate access to the Service in cases of Terms violations or compromised accounts.

5. Subscriptions and Payments

5.1 Subscription Plans

PiPar offers subscription-based access to premium features. Subscription details, including pricing and available plans, are displayed within the app and may be updated from time to time.

5.2 Billing and Renewal

Subscriptions are billed in advance on a recurring basis (monthly, or depending on your plan)
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date
You authorize us to charge your payment method for all subscription fees
All fees are non-refundable except as required by law or as explicitly stated in these Terms

5.3 Credits

AI features consume credits. Subscribers receive a monthly credit allowance that resets when your subscription renews. If you need more, you can purchase additional credits.

Purchased credits do not expire and will not reset — they remain in your account until used. Monthly subscription credits, however, reset to your plan's allowance at each renewal and do not accumulate.

Credit balances and consumption rates are displayed within the app. Credits are non-transferable and non-refundable.

5.4 Price Changes

We reserve the right to modify subscription prices. Price changes will be communicated in advance and will take effect at your next billing cycle. Your continued use of the Service after a price change constitutes acceptance of the new price.

5.5 Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation:

You will retain access to premium features until the end of your current billing period
Your subscription will not renew
No refunds will be provided for partial billing periods, except as required by law

6. User Conduct and Acceptable Use

6.1 Permitted Use

You may use PiPar for lawful business and personal purposes in accordance with these Terms.

6.2 Prohibited Activities

You agree NOT to use the Service to:

Violate any applicable laws, regulations, or third-party rights
Generate, store, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
Impersonate any person or entity or misrepresent your affiliation with any person or entity
Generate spam, phishing attempts, or other malicious content
Attempt to gain unauthorized access to the Service or related systems
Interfere with or disrupt the Service or servers or networks connected to the Service
Use automated scripts, bots, or other tools to access the Service without authorization
Reverse engineer, decompile, or disassemble any aspect of the Service
Use the Service for illegal surveillance, harassment, or stalking
Generate content that infringes intellectual property rights of others
Use the Service to create or distribute malware, viruses, or other harmful code
Abuse or misuse AI features for harmful purposes

6.3 AI Service Compliance

When using AI features, you must also comply with the terms of service and acceptable use policies of our AI service providers (OpenAI, Google, Anthropic, Mistral AI, Deepseek). Violation of their policies may result in suspension or termination of your access to PiPar.

6.4 Consequences of Violations

If you violate these Terms or engage in prohibited activities, we may:

Suspend or terminate your account immediately
Remove or refuse to process your content
Report violations to law enforcement or AI service providers
Take legal action as appropriate

7. HTML/JavaScript App Generation

7.1 Overview

PiPar AI personas can generate interactive HTML/JavaScript applications ("mini-apps") that run locally on your device. These apps may include functional code that executes in a web view environment with network access.

7.2 User Responsibility

By requesting and running AI-generated apps, you acknowledge:

Code Execution: Generated apps contain executable code. You are responsible for reviewing code before running it.
Network Access: Apps may make external network requests (API calls, data fetches) when such functionality is requested or reasonably necessary for the app's stated purpose.
Your Data: Apps you create may process, display, or transmit data at your direction. You are responsible for how you use this capability.
Third-Party Services: Apps connecting to external APIs are subject to those services' terms and availability.

7.3 AI Behavior Commitments

PiPar AI personas are designed to:

Generate only functionality that is requested, disclosed, or clearly necessary for the stated purpose
Explain external connections when an app makes network requests
Refuse requests to create apps intended to harm, harass, or defraud others
Refuse to obfuscate code functionality or hide app behaviors from users

7.4 Prohibited Uses

You may not use the app generation feature to create applications that:

Attack, overload, or disrupt third-party services
Harvest data from others without consent
Distribute malware or malicious code
Violate applicable laws in your jurisdiction
Infringe intellectual property rights

7.5 Limitation of Liability

AI-generated code is provided as-is. NEX Oy is not liable for:

Consequences of running user-requested code
Actions of third-party APIs or services
Data loss, security issues, or damages arising from app use
User misuse of generated applications

AI responses are probabilistic. While designed to behave as described above, absolute guarantees of AI behavior are not possible. Users should exercise judgment when running any generated code.

8. Google Calendar Integration

PiPar integrates with Google Calendar to synchronize your calendar data. By granting calendar access, you acknowledge that:

PiPar will synchronize your Google Calendar data to local storage on your device
Calendar data may be included in AI chat context when you use calendar-related features
You can revoke calendar access at any time through your Google Account settings
You are responsible for the accuracy of calendar data you create or modify through PiPar

Our use of Google Calendar data complies with the Google API Services User Data Policy.

9. Content and Intellectual Property

9.1 Your Content

You retain all ownership rights to content you create, upload, or store using PiPar ("User Content"), including:

Tasks, notes, and documents
Images and audio recordings
Chat messages

9.2 License to Use Your Content

By using the Service, you grant NEX Oy a limited, non-exclusive license to:

Store your content locally on your device and temporarily on our servers (as described in the Privacy Policy)
Process your content through AI services to provide features you request
Use anonymized, aggregated data for service improvement

This license terminates when you delete your content or close your account, except for content that has been shared with AI service providers during processing.

9.3 AI-Generated Content

Content generated by AI features may be subject to limitations:

AI-generated content is provided "as is" without warranties of accuracy or quality
You are responsible for reviewing and verifying AI-generated content before use
AI providers may retain certain usage rights as specified in their terms of service
You should not rely solely on AI-generated content for critical decisions

9.4 PiPar's Intellectual Property

The Service, including its design, features, graphics, code, and documentation, is owned by NEX Oy and protected by intellectual property laws. You may not:

Copy, modify, or create derivative works of the Service
Use PiPar's trademarks, logos, or branding without written permission
Remove or alter any copyright, trademark, or other proprietary notices

10. Third-Party Services

PiPar integrates with third-party services, including:

AI providers (OpenAI, Google Gemini, Anthropic, Mistral AI, Deepseek)
Google Calendar API
Google Cloud Platform services

Your use of these services through PiPar is subject to their respective terms of service and privacy policies. We are not responsible for the actions, content, or policies of third-party services.

10.1 AI Model Selection and Changes

We reserve the right to add, change, or discontinue specific AI models at any time. We select models from each provider based on what we determine best serves PiPar's functionality across different purposes (chat, voice, image generation, etc.) and performance tiers. We are not committed to maintaining access to any specific model indefinitely.

11. Disclaimers and Limitations of Liability

11.1 Service Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.

11.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

Warranties of merchantability, fitness for a particular purpose, and non-infringement
Warranties regarding accuracy, reliability, or availability of the Service
Warranties that the Service will meet your requirements or expectations
Warranties regarding AI-generated content accuracy or suitability

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEX OY SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Damage resulting from your use or inability to use the Service
Damage caused by third-party services or content
Damage resulting from unauthorized access to your account or content

Refunds are provided only as required by applicable law.

11.4 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, our liability will be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless NEX Oy, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

Your use of the Service
Your violation of these Terms
Your User Content
Your violation of any rights of another party
Your violation of applicable laws or regulations

13. Data Protection and Privacy

Your use of PiPar is governed by our Privacy Policy, available at piparapp.com/privacy. By using the Service, you consent to our data practices as described in the Privacy Policy.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

Posting the updated Terms in the app
Updating the "Last Updated" date
Sending you an email notification (for significant changes)

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and may request account deletion.

15. Termination

15.1 Termination by You

You may terminate your account at any time through the app settings or by contacting us. Upon termination:

Your access to the Service will cease
Your subscription will be canceled (no refund for the current billing period)
Your backend data will be deleted after 30 days
Local data on your device will remain until you uninstall the app

15.2 Termination by Us

We may suspend or terminate your account immediately if:

You violate these Terms
You engage in fraudulent or illegal activities
Your account has been inactive for an extended period
We are required to do so by law
We discontinue the Service

15.3 Effect of Termination

Upon termination, all rights and licenses granted to you will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including: intellectual property provisions, disclaimers, limitations of liability, indemnification, and governing law.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Finland, without regard to its conflict of law provisions.

16.2 Jurisdiction

Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of Finland. You consent to the exclusive jurisdiction of the Finnish courts.

16.3 Informal Resolution

Before filing any formal claim, you agree to first contact us to attempt to resolve the dispute informally. Most disputes can be resolved through good-faith negotiation.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NEX Oy regarding the Service and supersede all prior agreements.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

17.5 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and NEX Oy.

17.6 Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, natural disasters, or failures of telecommunications or internet infrastructure.

17.7 Language

These Terms are provided in English. Any translations are provided for convenience only. In case of conflict, the English version shall prevail.
